Wholesale Sales
Partnership Dispute - Men's Suits. Management owners (50% share) wanted to purchase the 50% share of the passive owner and gave them a purchase offer that was substantially less than book value of the company. We were engaged to investigate the purchase offer and the books and records that the management owners claimed supported their offer. We found substantial discrepancies that we reported in arbitration testimony.
Damages, non-payment of commissions. Involved a Japanese manufacturer of high end manufacturing equipment and an independent contractor for international wholesale sales. The Japanese manufacturer sold equipment in the sales territory of the independent wholesale sales contractor without paying the requisite commission. California law protects such contractors. We visited the operations of the independent wholesale sales contractor and reviewed their operations for compliance with law. Reviewed their contracts and books and records. We accumulated the sales made in their territory by the Japanese manufacturer and it's representatives and calculated the unpaid commissions and damages available by law.
